Frederic (Fred) T. Boyer is a seasoned strategic, operational and hands on chief financial officer and independent director with diversified domestic and international experience in building value for privately held and publiclytraded companies in growth and turnaround situations. Mr. Boyer has diversified industry experience in business services, high technology, entertainment, telecommunications, manufacturing, software, consumer products, publishing, data and digital storage, power electronics, networking and fiber optics.
During his career, Mr. Boyer has successfully raised more than $200 million through three IPO’s and secondary public offerings in addition to venture capital, private equity, bank, and strategic partner and lease financings.
As a CFO, he has implemented the necessary processes, systems, internal controls and people infrastructure to effectively manage the company’s growth and to position them to either go public or be sold.
Mr. Boyer has significant and successful experience in improving EBITDA and accelerating cash flow; turnaround/workouts; installing financial discipline and key performance metrics; cost reduction/control; financial planning and budgeting/forecasting; SEC Reporting; SOX 404; acquisitions/mergers and integration; investor relations/road shows; and working with boards and outside investors.
As a CFO, he has successful experience in not only establishing and leading Finance and Accounting organizations but also other functions such as Human Resources, Contracts and Legal, Information Technology, Facilities, Investor Relations, Manufacturing, Purchasing, Quality Control and Operations.
Mr. Boyer has served as the Senior Vice President and CFO of Condusiv Technologies Corporation, an enterprise software company; CFO of Data Direct Networks, a manufacturer and marketer of high capacity digital storage system; Senior Vice President and CFO of Optical Communication Products, Inc. (OCPI), a publicly traded company on NASDAQ in the telecommunications market; Vice President and CFO of Qualstar Corporation, a publicly traded NASDAQ company in the storage market; CFO of Accelerated Networks, a startup company that Mr. Boyer led through a very successful IPO; and CFO of Fibermux Corporation (sold to ADC Telecommunications for an 18 times return to shareholders). Mr. Boyer also held financial management and leadership positions in Fortune 500 companies including CBS, Inc, Raytheon Company and Beatrice Foods.
Mr. Boyer serves on boards as Chairman of the Audit, Finance and Nominating Committees and as a Member of the Compensation and Governance Committees. The boards he currently serves on as an Independent Director are C5 Youth Foundation of Southern California and Greenwood Hall. He previously served as an Independent Director of WISE and Healthy Aging and GF Acquisition Corporation. Mr. Boyer completed the UCLA Anderson Public Company Director Training and Certification Program and is a Certified Corporate Director.
He is a member of Financial Executives International and National Association of Corporate Directors.
Mr. Boyer has an MBA from Loyola Marymount University, a BS in Accounting from California State University, Los Angeles and a BS in Economics from California State University, Pomona.
